Terms of Service

These Terms of Service govern your access to and use of AdKing, a software service provided by Mesmerise Media Ltd (company registered in England and Wales) ("we", "us", "our"). By creating an account, starting a subscription, or connecting a Google account to AdKing, you ("you", "the customer") agree to these terms. If you agree to them on behalf of a business, you confirm you are authorised to bind that business.
1. What AdKing does
AdKing reads data from your connected Google Ads, Google Analytics 4, Google Search Console and Google Merchant Center accounts, runs automated checks against that data, and produces optimisation recommendations together with the evidence behind them.
AdKing does not change your advertising accounts on its own. Every change is proposed first and is only sent to Google after an authorised user in your workspace explicitly approves it. Some checks and drafts are produced with the assistance of artificial intelligence; AI output is advisory only and is never applied without your approval.
- Recommendations are released at a paced daily allowance (by default ten approvals a day per workspace) so accounts are not changed too quickly.
- Approved changes are written to Google through the official Google Ads API, read back to confirm what was written, and reversed automatically if the result does not match what you approved.
- New campaigns created through AdKing are always created paused.
- Results and measurement are estimates produced from the data Google reports to us.
2. Your account and authority
You are responsible for keeping your sign-in credentials secure and for all activity carried out under your account, including approvals made by anyone you invite into your workspace.
You must only connect Google accounts and advertising accounts that you own or are authorised to manage. If you connect an account on behalf of a client, you confirm you have that client's permission for AdKing to read the account's data and to make approved changes to it.
You are responsible for setting the correct roles and permissions for the people you invite, and for removing access when someone should no longer have it.
3. Approvals, changes and your responsibility
You remain the account owner and the decision maker at all times. AdKing presents a recommendation, the evidence behind it and the expected effect; you decide whether to approve it.
You are solely responsible for reviewing each recommendation before approving it, for the ongoing configuration, budgets, bidding, conversion tracking and creative in your advertising accounts, and for compliance with Google's policies and with advertising, consumer and data protection law in your markets.
We do not guarantee any particular level of performance, cost, ranking, traffic, conversion volume, revenue or return on ad spend. Advertising results depend on many factors outside our control, including auction dynamics, competitor behaviour, seasonality, your website, your pricing and Google's own systems and policy decisions.
4. Subscriptions, trials and billing
AdKing is sold on a subscription basis, priced per connected Google Ads account according to that account's monthly ad spend band. Fees are shown before you subscribe and are billed in advance, monthly or annually, by our payment provider.
New subscriptions include a free trial of the length shown at checkout. A valid payment method is required to start the trial and the first payment is taken automatically at the end of the trial unless you cancel before it ends.
You can upgrade, downgrade, change your payment details or cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; we do not provide pro-rata refunds for part periods except where required by law.
If a payment fails we will attempt to collect it again and notify you. After a short grace period an unpaid workspace becomes read-only: your history and reporting remain visible, but recommendations can no longer be approved or pushed.
If the ad spend in a connected account moves into a higher band, we may ask you to move to the matching plan for continued service. Prices may change; we will give at least 30 days' notice before a change applies to your renewal.
All fees are exclusive of applicable taxes, which are calculated and collected at checkout where required.
5. Acceptable use
We may suspend access immediately where we reasonably believe these rules are being broken, where an account puts the platform or a Google API integration at risk, or where we are required to do so by Google or by law.
- Do not use AdKing to access advertising accounts you do not own or manage.
- Do not copy, reverse engineer, decompile, resell or white-label the platform, or attempt to extract its underlying models, detectors or logic.
- Do not use the service in any way that breaches Google's terms, API policies or advertising policies, or applicable law.
- Do not attempt to bypass safety limits, approval requirements, workspace boundaries or rate limits.
- Do not upload malicious code, interfere with other customers, or place unreasonable load on the platform or on the Google APIs through it.
6. Your data and ours
You keep ownership of your advertising, analytics and product-feed data. You grant us a licence to process it for the purpose of providing and improving the service, as described in our Privacy Policy.
We may use aggregated and anonymised statistics that cannot identify you, your business or your accounts to improve our detection and measurement models. We do not sell your data and we do not disclose one customer's data to another.
We own all rights in the AdKing platform, its software, models, detectors, scoring, wording and design. Nothing in these terms transfers any of that to you.
7. Third-party services
AdKing depends on services we do not control, including Google Ads, Google Analytics, Google Search Console, Google Merchant Center, our hosting and database providers, our payment provider and our email provider.
We are not responsible for the availability, accuracy, policy decisions, rate limits, outages, account suspensions or data changes of those third parties, or for losses arising from them. Where a third party reports data incorrectly, incompletely or late, the recommendations and reporting produced from that data may be affected.
8. Availability, changes and support
We aim to keep AdKing available and to run its automated checks daily, but we do not promise uninterrupted or error-free operation. Maintenance, upgrades, dependency outages and incidents can interrupt the service.
We may add, change, or remove features as the product develops. Where a change materially reduces a core part of the service, we will give reasonable notice.

9. No warranty
AdKing is provided "as is" and "as available". To the fullest extent permitted by law, we exclude all warranties, conditions and representations that are not expressly set out in these terms, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
In particular, we do not warrant that the software will be free of defects, that automated checks will identify every issue or opportunity, that a recommendation, forecast, estimate or AI-generated draft will be correct or suitable for your business, or that any change will improve performance.
10. Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
Subject to that, and to the fullest extent permitted by law, we are not liable for: loss of profit, revenue, sales, business, goodwill or anticipated savings; wasted advertising spend, wasted management time, or the cost of remedial advertising activity; loss or corruption of data; or any indirect or consequential loss, in each case however caused and whether or not foreseeable.
This includes losses arising from a software defect, a failed or partial push to Google, an incorrect, delayed or missing recommendation, an incorrect estimate or measurement, an AI-generated suggestion, an interruption to the service, or a change you approved through the platform.
Subject to the paragraph on unlimited liability above, our total aggregate liability arising out of or in connection with the service, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the total subscription fees you paid to us in the twelve months immediately before the event giving rise to the claim.
You are responsible for monitoring your advertising accounts independently of AdKing. Because every change is proposed to you before it is applied, and because Google's own change history records what was applied, you agree to review changes made through the platform promptly and to tell us within 30 days of any change you believe to be wrong, so it can be reversed and investigated.
11. Indemnity
You agree to indemnify us against claims, losses and reasonable costs arising from your breach of these terms, your misuse of the platform, your connection of an account you were not authorised to connect, or the content and legality of the advertising you run.
12. Suspension and termination
You may stop using AdKing and cancel your subscription at any time. We may suspend or end your access where fees remain unpaid after notice, where these terms are broken, or where continuing would put the platform, another customer or a third-party integration at risk.
On termination your access to recommendations and pushes ends. We retain your account records for the periods described in the Privacy Policy, and you can request export or deletion by emailing accounts@mesmerise.media.
13. Changes to these terms
We may update these terms as the product and the law develop. The current version and its date are always published on this page. Where a change is material we will notify you by email or in the platform before it takes effect. Continued use after the effective date means you accept the updated terms.
14. Governing law
These terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
